EXECUTIVE BOARD ELECTION It is election time for all National Alumni Association Officers (President, Vice President, Secretary, Assistant Secretary, Treasurer, Financial Secretary, and Alumni Trustee) positions for the 2026 election year, and nominations are requested. As all of us are aware, the SAU-NAA has an essential role in the viability and sustainability of Saint Augustine’s University. Hopefully, SAU-NAA members who are eligible and have the time and requisite skill set will consider running for a position. The duties and responsibilities of the NAA Officers are listed in Article IV of the Constitution and Bylaws of the NAA-SAU, last amended by the General Assembly on May 21, 2022. ELIGIBILITY FOR OFFICE Any alumni member of the NAA who has been active and in good financial standing in the NAA for this current year (2025-2026) and the immediate two preceding years (2024-2025) and (2023-2024) or is a Life member (effective membership year 2023) is eligible to hold office in the NAA as either elected or appointed. Honorary members are not eligible to hold an office in the NAA. Applicants for the Alumni Trustee position will be required to meet the financial requirements for membership on the SAU-BOT, which include a $3,000 individual donation and support for, or assistance in raising $10,000. Additionally, the Alumni Trustee is required to attend Board of Trustees meetings that are held three times a year and participate in BOT subcommittee meetings as assigned by the Chairman of the Board. Duties of the NAA Officers to be elected and Nomination Forms are posted, and only NAA Members can nominate persons to run for office.

Roland Otey Jr., NAA-SAU Nominating Committee Chair Dr. John Larkins, NAA-SAU Executive Director ELECTION INSTRUCTIONS This correspondence is to notify you that nominations are open for the offices listed below for the National Alumni Association of Saint Augustine’s University (NAA-SAU) for the term July 1, 2026, through June 30, 2028. PRESIDENT: The President shall preside at all meetings of the NAA, Executive Board, and Executive Council. In addition, the President shall: a. Officially represent the NAA. b. Serve as an ex-officio member of all standing, ad hoc, and special committees except the nominating committee. c. Act as liaison between the NAA and the University. d. Call meetings to order at the appointed time, to announce the business (agenda) before the body in its proper order, to state and put all questions properly brought before the body, to preserve order and decorum, and to decide all questions with the advice of the parliamentarian. e. Perform such other duties as outlined and stated in its Constitution and Bylaws and Financial Management Procedures as approved by the NAA of Saint Augustine’s University and incorporated by reference in the Constitution. VICE PRESIDENT: The Vice President shall perform the duties of the President in the absence or incapacity of the President or such other duties as the President may properly assign. In the event of a vacancy in the office of the President, the Vice President shall serve as President for the unexpired term of the President or until the next regular general meeting. The Vice President Shall: a. Supervise all NAA committees and receive written committee reports for dissemination to the Executive Board. b. Serve on the membership committee. SECRETARY: The Secretary shall be responsible for the recording, transcribing, and distribution of the minutes of the general or special meetings of the NAA and shall serve as custodian of all reports and records of the NAA and its committees. In addition, the Secretary shall receive, answer, distribute, and post all general correspondence, notices, and agendas for the NAA and its committees. The Secretary shall perform other duties as assigned by the President. ASSISTANT SECRETARY: The Assistant Secretary shall perform the duties of the Secretary in the Secretary’s absence. Perform other duties assigned by the President. Votes only when performing duties in the absence of the Secretary during Executive Board Meetings. TREASURER: The Treasurer shall deposit all funds received from the Financial Secretary into the NAA bank account within 72 hours, sooner if possible. Shall disburse funds only on approved forms with vouchers approved by the President. Keep an accurate ledger of all financial transactions of the association along with the Financial Secretary. Provide a monthly income and expense report to the NAA President in a format approved by the President. The Treasurer shall be responsible for the preparation and submission of all tax reports. Be bonded and chair the Budget Committee. Responsible for other duties assigned by the President. FINANCIAL SECRETARY: The Financial Secretary shall be responsible for collecting and logging all funds received and payable to the NAA. Must provide receipts for all transactions. Provide the Treasurer a budget line-item voucher for funds received and transfer funds to the Treasurer for deposit. Maintain the fund's receipt journal and reconcile all receipts and deposits with the Treasurer on a monthly detailed spreadsheet. The Financial Secretary shall be bonded, sign checks in the absence of the Treasurer, and perform other duties as assigned by the President. PARLIAMENTARIAN The Parliamentarian shall be responsible for the interpretation and application of the NAA Constitution and Bylaws and Robert’s Rules of Order at all general and special meetings of the NAA and its committees. ALUMNI TRUSTEE REPRESENTATIVE:
All OFFICERS SHALL BE ELECTED TO SERVE A TWO-YEAR TERM. Nominations may be submitted by active chapters or members of the NAA in good financial standing. ALL FINANCIAL MEMBERS OF THE NAA ARE ELIGIBLE TO VOTE. Any alumni member of the NAA who has been active and in good financial standing in the Association for the current year and two consecutive years preceding the current fiscal year is eligible to hold office in the NAA, either elected or appointed. Honorary members are not eligible to hold an office. The Membership Committee Chairperson will submit to the Nominating Committee Chairperson and Executive Director a list of all active members eligible to vote. A consent form and a short biography from each potential candidate must accompany all nominations for office. All candidates verified as eligible to run for office will be required to provide a photograph. The nomination period is open now through February 29, 2024.
